All rights reserved ® GeoTemp is a registered trade mark of CSIRO (Australian Registration No. 1462002) GeoTemp® Software Overview The GeoTemp® software ’GeoTemp 1.0’ is a computer program developed by CSIRO, the University of Western Australia and Curtin University of Technology (co-owners) as a tool for processing, evaluating and interpreting geothermal temperature data. CSIRO has a right to distribute the GeoTemp® software . Licence CSIRO is willing to grant each legal person who downloads (you) the GeoTemp® software (Software) a non-transferable and non-exclusive license to the Software. . In this Licence “you” or “your” refers to the person who has downloaded the Software and any subsequent person who you permit to access the Software. Your downloading of the Software is deemed to indicate your acceptance of each of the following non-alterable terms:. 1.1 Permitted use: • You may use the Software for your own internal purposes, meaning you may not grant further licences, sell or re-distribute the Software. • You may create and distribute hardcopy products and non-editable digital images (e.g: pdf files) based on or containing the data or results generated by the Software, provided you display the following acknowledgement and disclaimer in a prominent position on any such products or images: “This product or image is based on or contains data generated by the GeoTemp® software developed by CSIRO. CSIRO and Co-owners give no warranty in relation to the data (including accuracy, reliability, completeness or suitability) and accepts no liability (including without limitation, liability in negligence) for any loss, damage or costs (including any indirect, consequential or special damages) relating to any use of the data”. 1.2 Restrictions : • You must not make copies of the Software available to any other person. If you become aware that any other person wishes to use the Software, then you should refer that person to the CSIRO website. • You must not alter, adapt or make modifications to the Software • You must not communicate the Software, including releasing it on the Internet or by any other public communication network. • You must not make any copies of the Software except as expressly permitted by law for the purpose of making a back-up copy of the Software. All such copies may must include the Proprietary Notices set out above • You must not reverse-engineer, decompile, disassemble or otherwise attempt to discover the source code of the Software. • You may only use the Software in accordance with the instructions given in the software manual which is available at http://www.ict.csiro.au/downloads.php and must be installed by you concurrently with the Software. • If you become aware of any misuse of Software, you are obliged to immediately notify CSIRO by sending an email to : GeoTemp@csiro.au. • You must not use the name, trademarks or logos of CSIRO or the Co-owners, except as expressly required under the acknowledgement set out in clause 1.1 above. • You must not claim any sponsorship, affiliation or connection between CSIRO and any products or images you produce using the Software or your business. 1.3 IP Rights CSIRO, The University of Western Australia and Curtin University of Technology retain full ownership of the intellectual property rights in the Software and the software manual. Nothing in this Licence grants to you ownership or intellectual property rights in the Software apart from the limited licence to use described in these terms. Resolving disputes In any dispute arising out of or in connection with this Licence, you agree to first negotiate in good faith with a senior CSIRO officer to resolve it. If the dispute is not resolved by those negotiations within 30 days, you agree that the matter will be referred to the Australian Commercial Dispute Centre Limited ('ACDC') for resolution by mediation in accordance with the ACDC Guidelines on Mediation. However, this does not prevent CSIRO from seeking any urgent interlocutory relief. 1.7. Entire agreement • This Licence records the entire agreement between CSIRO and you in relation to the Software. • All international conventions that might import contractual terms into this Licence are excluded, including the United Nations Convention on Contracts for the International Sale of Goods. • CSIRO may at any time and from time to time publish on the CSIRO web site its intention to vary the terms of the Licence (such notice will be posted no less than 30 days prior to the variation taking effect). If it does so, the variation specified will become effective on expiry of the notice period. 1.8. The Governing law This Licence is governed by and construed in accordance with the laws of New South Wales, Australia and you agree to submit to the exclusive jurisdiction of the courts in that State.
